Welcome to Ratel. These Terms of Service ("Terms") govern your access to and use of the website ratel.sh and the services we offer (together, the "Service"), provided by Agentified S.r.l., with registered office at Via Lorenzo Mascheroni 14, 20145 Milan, Italy, VAT no. 14664350965 ("Ratel", "we", "us", "our").

By using the Service you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. The Service

Ratel provides a SaaS platform for context-engineering infrastructure for artificial intelligence. The Service is accessed through an online account and may include both free and paid features.

We may modify, suspend, or discontinue all or part of the Service at any time, giving notice to users where reasonably possible.

2. Accounts and registration

2.1. To use certain features you must create an account by providing a valid email address and any other required information.

2.2. You are responsible for keeping your login credentials confidential and for all activity carried out through your account.

2.3. You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service.

2.4. You agree to provide truthful, accurate, and up-to-date information.

3. Acceptable use

You agree not to:

  • use the Service for unlawful purposes or in breach of applicable laws;

  • attempt to gain unauthorized access to the systems or data of Ratel or third parties;

  • interfere with the security or operation of the Service (e.g. malware, denial-of-service attacks, unauthorized reverse engineering);

  • upload content that infringes the rights of third parties (intellectual property, privacy, etc.);

  • resell or commercially exploit the Service without our prior written consent.

We may suspend or terminate your account if you breach these Terms.

4. Plans, pricing, and payments

4.1. Paid features are described on our pricing page. Fees are stated inclusive or exclusive of taxes as specified there.

4.2. Unless stated otherwise, subscriptions renew automatically at the end of each billing period. You may cancel at any time, with effect from the end of the current billing period.

4.3. Right of withdrawal: EU consumers may exercise the statutory 14-day right of withdrawal, except where performance of the digital service has begun with the consumer's express prior consent.

5. Intellectual property

5.1. The Service, the software, trademarks, logos, and Ratel content are owned by us or licensed to us and are protected by applicable law.

5.2. You retain ownership of the content and data you upload ("User Content"). You grant us a limited, non-exclusive license to the extent necessary to provide and operate the Service.

6. Third-party services and links

The Service may integrate with or link to third-party tools. We are not responsible for the content, policies, or practices of those third parties.

7. Disclaimers and limitation of liability

7.1. The Service is provided "as is" and "as available", without warranties of any kind, to the maximum extent permitted by law.

7.2. To the maximum extent permitted by applicable law, Ratel shall not be liable for any indirect, incidental, or consequential damages. Nothing in these Terms excludes or limits liability that cannot be excluded by law (e.g. willful misconduct, gross negligence, or personal injury).

8. Indemnification

You agree to indemnify and hold Ratel harmless from third-party claims arising out of your use of the Service in breach of these Terms or the law.

9. Term and termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or for legal or security reasons.

10. Changes to these Terms

We may update these Terms. If we make material changes, we will give reasonable notice (e.g. by email or a notice on the site). Continued use after the changes take effect constitutes acceptance.

11. Governing law and jurisdiction

These Terms are governed by Italian law. For consumers, the competent court is that of their place of residence or domicile. For business users, the courts of Milan, Italy, have exclusive jurisdiction.
